Boskalis sells stake in SMIT Amandla Marine

Papendrecht, 1 December 2016 Royal Boskalis Westminster N.V. (Boskalis) has successfully completed the sale of its stake in SMIT Amandla Marine (SAM). The possible sale had already been announced in March 2016. The stake was sold to management and local investors, thereby returning the business of SAM to 100% South African ownership. Boskalis received a cash sum of approximately EUR 50 million for the sale. The activities and results of SAM will be deconsolidated with effect from 1 December 2016. Boskalis: unique combination of new LNG fuelled harbor tugs and LNG bunkering contract

Papendrecht, 5 October 2016 Royal Boskalis Westminster (Boskalis) joint ventures Keppel Smit Towage and Maju Maritime have ordered two innovative LNG dual-fuel harbor tugs, which marks a breakthrough for realizing clean environmentally friendly harbor towage services in the Singapore port. The tugs, which are expected to be delivered in 2018, will run entirely on LNG. For this reason, the Maritime and Port Authority of Singapore will award a grant of up to SGD 2 million for each tug under its LNG Bunkering Pilot Programme. The 65-tonne bollard pull ASD tugs will be built by Keppel Singmarine in Singapore using the shipyard’s proprietary design. The LNG fuel will be supplied by Shell, for which two Head of Agreements have been signed, and bunkered through FueLNG, a joint venture between Shell and Keppel. The two LNG fuelled tugs will be the first clients of LNG as marine fuel in the pilot for the development of Singapore into one of the world’s main LNG bunkering ports. With a large global fleet, Boskalis is constantly on the lookout for ways to reduce emissions and innovate in terms of sustainability and looks forward to rolling this out in other LNG ports and terminals around the world. Boskalis believes that the use of LNG as a marine fuel for harbor tugs will play a viable role in reducing emissions that no other fossil fuel can currently achieve. About Keppel Smit Towage and Maju Maritime Established in 1991, Keppel Smit Towage is a joint venture between Keppel and Smit Singapore, a wholly-owned subsidiary of Boskalis. Keppel Smit Towage merged operationally with Maju Maritime, another joint venture between Keppel and Boskalis, in early 2010. The two companies have a combined fleet of 68 tugs and provide harbor towage services in Singapore and Diego Garcia as well as in Malaysia, Indonesia, Taiwan and China together with joint venture partners. Boskalis reaches financial close on European harbour towage joint venture

Papendrecht, 7 April 2016 Royal Boskalis Westminster N.V. (Boskalis) and KOTUG International B.V. (KOTUG) announce that the previously announced intended merger of their European harbour towage operations has been completed. At financial close, Boskalis refinanced its contribution to the joint venture and as a consequence has freed up and received EUR 90 million in cash. The joint operations have been transferred to a 50/50 joint venture, bringing together the European harbour towage activities of both SMIT, a Boskalis subsidiary, and KOTUG. In order to retain both strong brand names and to benefit from the well-established brand recognition, the joint venture will operate under the name KOTUG SMIT Towage. The operational integration will start with immediate effect. With a fleet of 65 tugboats, KOTUG SMIT Towage will be a leading provider of harbour towage services in Northwest Europe, operating in 11 ports in Belgium, Germany, the Netherlands and the United Kingdom. Boskalis and Kotug establish European harbour towage joint venture

Papendrecht, 23 December 2015 Royal Boskalis Westminster N.V. (Boskalis) and KOTUG International B.V. (KOTUG) have reached agreement on the merger of their European harbour towage operations. The Memorandum of Understanding signed by the parties in late 2014 has now been formalized following a thorough process. The combined operations will be transferred to a 50/50 joint venture bringing together the European harbour towage activities of SMIT, a Boskalis subsidiary, and KOTUG. The operations will continue under the name KOTUG SMIT Towage. Boskalis and Kotug merge European harbour towage operations

Papendrecht, 15 December 2014 Royal Boskalis Westminster N.V. (Boskalis) and KOTUG International B.V. (KOTUG) have signed a Memorandum of Understanding (MoU) to merge their European harbour towage operations. The companies will establish a 50/50 joint venture for this purpose, combining the European harbour towage activities of SMIT, a Boskalis subsidiary, with the European harbour towage activities of KOTUG. This merger is the concluding step in Boskalis' strategy aimed at establishing regional partnerships for its harbour towage activities, as was previously done through Smit Lamnalco, Keppel SMIT and most recently SAAM SMIT. By joining forces opportunities are created to achieve cost and market synergies as well as a more efficient capital structure. The scope of the joint venture will encompass the harbour towage operations of SMIT in the Netherlands and Belgium and the harbour towage operations of KOTUG in Germany, the Netherlands and the United Kingdom. A leading provider of harbour towage services in northwestern Europe will be formed through this combination. The joint venture will serve 11 ports in 4 countries with a fleet of more than 60 tugboats. The total combined revenue is estimated at approximately EUR 150 million and the joint venture will not only result in operational synergies but also significantly strengthen the combined market positions. Boskalis expects to free up nearly EUR 100 million in cash from the proposed transaction, primarily due to the refinancing of the activities. The MoU will be implemented subject to customary conditions, such as due diligence and regulatory approval in the countries to which the joint venture pertains, and in consultation with the works councils.
